2010-2011 Guerreros Soccer Membership/Sponsorship Agreement
The 2010-2011 Guerreros Soccer Team Member/Sponsorship Program Are Available Right now. 1. Compañia de Reforestación, Energía y Agricultura (CREA) S. de R. L. de CV is an Honduran corporation. CREA and Soccer for Life are joint SUPPORTERS of Guerreros and serve as the marketing agency for the 2010-2011 Honduran Soccer Team Program. The Honduran Soccer Team Guerreros de Relampago is owned by Dr. Carol Cross. Dr. Cross is hereinafter called the General Manager or GM. This program includes the purchase of and development of at least four new players for the purpose of playing soccer at the national level in Honduras.
2. There are four Member/Sponsor Levels available.

Investment pertains only to the 2010-2011 season of Guerreros de Relampago and not to any other CREA program. Member/Sponsors obtain an interest in their membership privileges which disallow General Manager to increase their next years Member/Sponsor fees more than ten percent. Because this is a charter year, Member/Sponsor prices are low. After the 2010-2011 Member/Sponsor year, prices for Member/Sponsor program will rise dramatically. By becoming a charter Member/Sponsor, 2010-2011 Members/Sponsors will be able to control future investment requirements.
3. No oral promises or explanations from the brochures, cover letter, or otherwise, shall alter the written terms of this agreement. The literature and/or conversations are for explanatory purpose only and to provide an overall guide as to the intentions of the syndicate.
4. There is no guaranteed return on investment as participation in the 2010-2011 Honduran Soccer Member/Sponsor program but CREA will do everything in its power to make your Member/Sponsor program successful.
5. The General Manager (GM) in the singular sense represents the management team. When referred to in this Agreement, shall represent the entire management interest.
6. For the protection of all Members after (5) days from the date of purchase, there are no provisions for any refunds of re-sale of interests.
7. This Honduras Soccer Team Agreement is strictly for the 2010-2011 soccer season and concludes on June 1, 2011.
8. Twenty days prior to conclusion of this Agreement, the General Manager shall entertain bids for the transfer of unneeded players from the team to European or other leagues to establish their Fair Market Value. The General Manager shall decide on whether the players should be offered for sale or kept on the team roster.
9. The Members reserve the exclusive first right to purchase any players at the then FMV when offered for sale by the General Manager. Upon notification, the Member has five (5) days to elect purchase.
10. If more than one Member (s) exercises his/her option, an auction shall ensue, with the highest bidder awarded the player(s). If bids are equal then the GM has the last right of purchase.
11. The General Manager maintains sole exclusive authority to manage and operate the team without any interference from the Members.

13. The General Manager maintains sole exclusive authority on when and where to play in tournaments and any games outside the regular season.
14. The General Manager maintains sole exclusive authority to make all customary and reasonable decisions required in managing the day-to-day-operation of the Honduras Soccer team.
15. The General Manager shall receive a twenty percent interest in all players acquired as part of management compensation., This shall be paid simultaneous with distribution to the Members.
16. The General Manager shall also receive as management compensation twenty percent (20) of all net tournaments, sponsorship and ticket receipts earnings. This shall be paid simultaneous with distribution to the members.
17. The General Manager shall establish and maintain a bank account with a FDIC insured commercial bank in the USA.
18. At least fifty percent ( 50%) of the raised proceeds shall be used to mange the team and purchase new players. The Operations account shall be used to pay all expenses, including but not limited to, advertising and marketing.
19. Any unused Operation fund that remain at the conclusion of the Agreement shall be returned pro-rata to the members.
20. The limit of liability to the General Manger shall be no greater than that of the investment less any distributions received by the member. The General Manager shall be held harmless and indemnified for any and all claims greater than what has been described in paragraph 19.
21. In the event of the untimely death of a Member, his/her share shall revert to the Estate of designated beneficiary.
22. All Members reserve the right to sell their interest (s) in Member/Sponsor levels at any time. The right to a maximum ten percent yearly increase in sponsorship cost can be transferred. Should this occur, the new Assignee must agree to abide by all terms. The selling Member must notify the General Manager in writing before making any sale. The Member(s) must then be notified and have the exclusive right to match the price and purchase the interest. If more than one Member(s) elect this option, an auction shall ensue with the highest bidder awarded the right to purchase the interest.
23. Periodically, anticipated approximately each quarter, Member/Sponsors may receive service bonuses. That might mean extra team appearances at their business, videos to be distributed, online and media publicity. shall be distributed to the Members. This will be based on active participation by the sponsor with the team in Honduras and USA. If we are fortunate to have a team accepted in a cross country tournament, Member/Sponsor will have an opportunity to participate at their own cost in these activities.
24. The Member shall be notified (on a best attempt basis) usually two (2) days prior, by phone and/or email, each time the team is scheduled to play.
25. If wanted, the Member/Sponsor at at his or her own expense will travel to Honduras to be met at the airport and transported to his home stay for the week. Gold Member/Sponsor will be responsible for airfare to and from Honduras. Platinum Member/Sponsors. Diamond Member/Sponsor and Elite Member/Sponsors will receive airfare to Honduras for one round trip as part of their package.
26. The Member is not required for the entire life of this Agreement to contribute any additional funds to the Honduras Soccer Team Agreement. The only requirement for additional funding would occur should the Member, while in Honduras, seek to have additional experiences outside the one day vacation package and the one week soccer program for their children.
27. The General Manager shall provide a team schedule for the Member. The Member will choose a home game for their vacation week and notify the General Manager at least four weeks in advance so preparation for both the tours and the soccer camp can be made available.
28. The Member, upon notification, shall have the exclusive right to enroll in the 2010-2011 Honduras Soccer Team Member/Sponsor program for 14 days prior to being offered for sale to the General Public.
29. Although every attempt has been made to cover all contingencies should the situation occur not covered by this Agreement, the General Manager maintains the sole exclusive authority to adjudicate any matter in a customary and reasonable manner.
